This seminar covers the essential commercial contract issues, providing a good grounding in the relevant concepts for newly qualified solicitors, those who are new to this area of law and  trainees. The session will include practical case studies on relevant issues, as well as discussion of the following key areas:

  • Contract Interpretation – impact of recent case law
  • Service standards, warranties & indemnities
  • Exclusion and limitation of liability
  • Liquidated damages / penalty issues
  • Payment provisions
  • Termination rights
  • Boilerplate clauses, including applicable law & jurisdiction
  • Data protection / GDPR clauses
  • Anti-bribery & modern slavery clauses

    Steph Innes is an Associate in the IP & Technology Department at Maclay Murray & Spens LLP. Steph has a broad range of experience in drafting and advising on commercial contracts, the protection and commercialisation of intellectual property, information technology (hardware, software and services), e-commerce, outsourcing, franchising, data protection and freedom of information matters. She also advises on the IP & Technology aspects of corporate transactions. Steph advises clients across a broad range of sectors including financial services, life sciences, manufacturing, food & drink and technology, and has spent time on secondment with a life sciences company. She also tutors at Glasgow University in Commercial Contracts on the Diploma in Professional Legal Practice, and contributes to Commercial Contract course materials.
